Terms of Use

These Terms of Use ("Terms") govern your use of the B2B raw material marketplace (the "Platform") operated by HammaddePazari Teknoloji A.Ş. ("HammaddePazari", "we", "us"). By registering for or using the Platform you agree to these Terms.

1. Parties and definitions

• Platform: the HammaddePazari website, in-app dashboards, the deal room, the raw material guide and the supplier directory.
• Member: a registered user acting on behalf of a company or sole proprietorship.
• Supplier: a member company that publishes raw material listings.
• Buyer / Manufacturer: a member company that requests quotes or publishes buying requests (RFQs).
• Deal: the full process of offers, contract and delivery conducted through the Platform.

2. Role of the Platform

HammaddePazari is an intermediary service that connects buyers and suppliers. It is not a party to sales contracts between Members; it does not take title to goods and does not guarantee the quality, quantity or delivery of products. Obligations arising from a sales contract exist solely between buyer and supplier.

3. Membership and account security

1. The Platform is for business use only. You confirm that you are authorized to act on behalf of the company you represent.
2. You are responsible for keeping your registration details accurate, current and complete.
3. Company verification (KYC) and two-factor authentication (2FA) are required to access the deal room.
4. You are responsible for keeping your password and verification codes confidential. Report any unauthorized use immediately to destek@hammadde.antwebsoft.com.
5. We may suspend or close accounts in case of false statements, suspected fraud or breach of these Terms.

4. Listings and content

1. Suppliers warrant that their listings are accurate, that they are entitled to sell the product and that the product complies with applicable law.
2. Listings of prohibited goods, goods violating hazardous-substance rules, goods subject to sanctions, or goods infringing intellectual property rights are forbidden.
3. We may review listings before or after publication, request changes or remove them.
4. You grant HammaddePazari a non-exclusive, royalty-free licence to display the content you upload on the Platform.

5. Deal room, communication and contracts

1. The deal room is for requests above the minimum deal value set per category. Smaller requests are directed to the free supplier directory.
2. Until a contract is signed, phone numbers, e-mail addresses and links in messages are automatically masked. Attempts to circumvent this protection to move a deal off the Platform are prohibited.
3. An accepted offer is turned into a contract text by the Platform. Both parties sign it electronically with a one-time code. The signing time, IP address and SHA-256 hash of the document are stored.
4. Offers, contract signatures, milestone changes and administrative actions are recorded in a tamper-evident log.

6. Fees, membership and commission

1. Membership plans and prices are published on the pricing page. Monthly or yearly plans are paid in advance for the chosen period and renew automatically unless cancelled.
2. Members on the commission plan pay no monthly fee. Instead they pay a commission on the final value of each completed deal, using the progressive tiers shown on the pricing page and within the stated minimum and maximum limits.
3. The final value is verified using both parties' declarations and the invoice — either by staff approval or by automatic matching, depending on Platform settings. Differences beyond the tolerance are reviewed.
4. Closing a deal that was initiated on the Platform outside the Platform in order to avoid commission is a material breach of these Terms. In that case we may claim the commission that would have been due and close the account.
5. Payments are collected through licensed payment institutions (iyzico, PayTR, Stripe, PayPal) or bank transfer. Card details are never stored on the Platform.
6. Invoices are issued electronically. Unpaid invoices may lead to suspension of the plan.

7. Disputes

If a problem arises in a deal, either party may open a dispute on the Platform. We mediate based on the recorded evidence but have no power to issue binding decisions, and the parties remain free to exercise their legal rights.

8. Prohibited conduct

• Registering with a fake company, documents or identity
• Using another Member's account or data without permission
• Malware, automated scraping or traffic that disrupts the service
• Payment redirection fraud (e.g. changing bank details with a fake notice)
• Violating sanctions, export control, competition or anti-money-laundering laws

9. Limitation of liability

The Platform is provided "as is". Except in cases of intent or gross negligence, HammaddePazari is not liable for transactions between Members, indirect damages, loss of profit or loss of data. In any event, our total liability is limited to the amount the Member paid to the Platform in the previous 12 months.

10. Intellectual property

The Platform's software, design, guide content and brand belong to HammaddePazari Teknoloji A.Ş. and may not be copied or used commercially without written permission.

11. Changes and termination

We may update these Terms. Material changes are announced by e-mail or in-app notice before they take effect. You may close your account at any time; payment obligations already incurred and statutory retention obligations remain.

12. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Türkiye. The courts and enforcement offices of Istanbul (Central) have jurisdiction.
